3. Payment Terms

• All payments are non-refundable once a project phase is approved and work has commenced.

4. Intellectual Property

• Scaleloop retains rights to code, designs, or tools developed unless transferred by contract.
• Final deliverables become client property upon full payment.
• Scaleloop reserves the right to showcase completed work in its portfolio or marketing unless the client requests confidentiality.

5. Confidentiality

Both parties agree to keep all confidential and proprietary information private. This includes designs, strategy, business information, and other sensitive material shared during the engagement.

6. Termination

Either party may terminate the agreement with written notice. In such cases:

• Work completed up to the termination date will be billed.
• Any deposits made are non-refundable.
• Ownership of partial work will be subject to payment agreements.

7. Limitation of Liability

Scaleloop is not liable for any indirect, incidental, or consequential damages resulting from the use or inability to use our services. We make every effort to deliver quality work, but outcomes may be influenced by external factors beyond our control.

8. Revisions and Feedback

We allow a reasonable number of revisions within the project scope. Additional revisions or changes outside the original agreement may incur extra charges.

9. Use of Third-Party Tools

We may use licensed third-party tools, APIs, or platforms during project delivery. Clients are responsible for any ongoing fees or licenses unless otherwise agreed.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the applicable jurisdiction where Scaleloop is registered.

11. Changes to Terms

Scaleloop reserves the right to update these Terms & Conditions at any time. Updates will be posted on our website with a revised effective date.
